Terms of Service

1. The service

Busfactor is a platform that connects read-only to your engineering tools (code host, ticketing, chat, CI, incidents), computes deterministic metrics over that data, and delivers an evidence-linked assessment of your engineering organization. It never writes to or acts on your connected systems.

2. Accounts & orgs

• You must provide accurate account information and keep your credentials safe; you are responsible for activity under your account.
• Org admins control who joins their org, what is connected, and org-level settings (including anonymization and data-region choices).
• You may only connect tools and data you are authorized to connect on your organization’s behalf.

3. Your data

• Your org’s data stays yours. We process it solely to provide the service, as described in the Privacy Policy.
• You choose the data region (EU or US) when you onboard. Moving an existing org between regions is a manual migration our team runs for you - ask support and we will schedule it.
• Lapse - your trial ends, a payment fails, or you cancel and the paid term runs out. The account locks: no refresh, no new analysis, no access to findings. Nothing is deleted, and subscribing restores everything.
• Termination - either side ends the agreement under Section 9, or you delete the org.
• After a lapse or a termination we keep your org data for 90 days, then delete it. Ask us sooner and we delete it sooner. Enterprise retention is what your agreement says.

4. Acceptable use

• No reselling, scraping, or reverse-engineering the service.
• No using assessments to harass, discriminate against, or take automated adverse action against individuals. The product is built to diagnose systems, not to rank people - use it that way.
• No connecting data you have no right to connect.

5. Subscription & payment

• Pro is the subscription: sold per active engineer, per month, billed monthly or annually. Rates are on the pricing page; the rate you subscribe at is the rate you are billed at for that term.
• On-Prem Full Audit is a one-off engagement priced on scope - not a subscription, and not per engineer. Enterprise is a self-hosted deployment on annual terms at a rate we agree with you.
• An active engineer is a person the product counted as contributing to your org in the trailing window it applies - at least one commit, pull request or review, counted once per person after identity merges. Bots and accounts you exempt are never counted. Settings → Plan names everyone counted and everyone excluded for the period you are billed on; tell us if a count is wrong and we correct it.
• The trial runs 14 days with no card. On day 15 the account locks until you subscribe, and your data is kept under Section 3.
• Fees are billed in advance and are non-refundable except where law says otherwise.
• You can cancel anytime; the subscription runs to the end of the paid term.

6. The assessment is advice, not gospel

Busfactor quotes numbers computed from your data and links every finding to its evidence - but judgments, bands, and prescriptions are decision support, not a guarantee of outcomes. You stay responsible for decisions made with it, especially decisions about people.

7. Availability & changes

We aim to keep the service available and evolving; features may change. We’ll give notice of material degradations. Scheduled maintenance and connector-provider outages happen.

8. Warranty & liability

The service is provided “as is” without warranties of any kind, to the extent permitted by law. Our aggregate liability is capped at the fees you paid in the 12 months before the claim; neither side is liable for indirect or consequential damages. Nothing here limits liability that cannot lawfully be limited.

9. Termination

• You: cancel anytime from the product or by writing to support@busfactor.tech.
• Us: we may suspend or terminate for material breach (with notice and a chance to cure where reasonable) or for non-payment.
• Data handling on termination follows Section 3 and the Privacy Policy.

10. Governing law & changes to these terms

Busfactor is operated by VojGin s.r.o., a company incorporated in the Czech Republic, IČO 19630727, VAT ID CZ19630727, with its registered seat at Argentinská 1140/30, Holešovice, 170 00 Praha 7, Czech Republic, registered with the Městský soud v Praze (Prague Municipal Court) under file C 389056.

These terms, and any dispute or claim arising out of them or out of your use of Busfactor, are governed by the laws of the Czech Republic, without regard to its conflict-of-law rules. The Městský soud v Praze (Prague Municipal Court) — the Czech court having jurisdiction over the registered seat of VojGin s.r.o. — has exclusive jurisdiction, except where mandatory law in your country of residence gives you the right to bring a claim elsewhere. The UN Convention on Contracts for the International Sale of Goods does not apply. If any provision here is held unenforceable, the rest stays in force.

We’ll notify org admins of material changes to these terms at least 30 days before they take effect; continued use after that is acceptance.
